Acceptance of Terms

Engagements
Uunify provides design, UX, digital, brand, research, accessibility, communications, and related creative services.
Engagements may be structured as a defined project, ongoing partnership, strategic engagement, or another arrangement agreed upon in writing.
The specific scope, timeline, deliverables, responsibilities, and fees for an engagement will be established before work begins.
Payment and Billing
Fees and payment schedules are defined in the proposal, statement of work, invoice, or other written agreement associated with each engagement.
Unless otherwise agreed, invoices are due according to the payment terms stated on the invoice.
Work may be paused if an account becomes materially overdue. Additional work outside an agreed scope may require a revised estimate or separate authorization before proceeding.
Scope and Changes
Projects sometimes evolve.
If requested work materially changes the agreed scope, timeline, or level of effort, Uunify will communicate the impact before proceeding whenever reasonably possible.
Changes may require an updated timeline, additional fees, or a revised scope of work.
Client Responsibilities
Successful engagements depend on timely collaboration.
Clients are responsible for providing reasonably necessary content, materials, access, approvals, feedback, stakeholder input, and other information required to complete the work.
Delays in receiving these items may affect project timelines.
Clients are also responsible for confirming that materials they provide to Uunify may legally be used for the engagement.
Intellectual Property
Clients retain ownership of materials they provide to Uunify.
Unless otherwise stated in a written agreement, ownership of final approved deliverables created specifically for the client transfers to the client after all associated fees have been paid in full.
Uunify retains ownership of pre-existing tools, methods, processes, templates, frameworks, code, know-how, and other intellectual property developed independently of the engagement.
Unless confidentiality requirements or a written agreement state otherwise, Uunify may display completed, publicly released work in its portfolio, case studies, website, presentations, and marketing materials.
Third-Party Materials and Services
Some engagements may involve third-party software, fonts, photography, hosting services, development tools, platforms, plugins, stock assets, or other services.
Third-party products may be subject to their own licenses, fees, terms, and availability.
Where appropriate, Uunify will identify material third-party requirements, but clients remain responsible for ongoing third-party costs unless otherwise agreed.
Confidentiality
Uunify treats non-public client information shared during an engagement as confidential and will use it only as reasonably necessary to perform the work.
Confidential information will not be intentionally disclosed to unrelated third parties without authorization, except where required by law or where necessary to approved contractors or service providers supporting the engagement and subject to appropriate confidentiality obligations.
Separate confidentiality agreements may be used when an engagement requires additional protections.
Feedback and Revisions
Uunify works collaboratively with clients to refine work toward the agreed objectives.
The number, nature, and timing of revisions may vary by engagement and will be governed by the applicable scope of work.
Requests that materially change an approved direction or introduce new requirements may be treated as additional scope.
Contact Information
Either party may end an engagement according to the cancellation or termination provisions contained in the applicable proposal or agreement.
If no separate termination terms have been established, the client remains responsible for payment for work completed, committed costs, and approved expenses through the effective termination date.
Any prepaid amounts will be handled according to the terms of the applicable engagement.
No Guarantee of Specific Outcomes
Uunify provides professional design and strategic services intended to help organizations communicate and operate more effectively.
However, we cannot guarantee specific fundraising results, revenue, conversion rates, search rankings, grant outcomes, audience growth, or other business results arising from the work.
